Responsibilities
- Organize and service the meetings of shareholders, the board of directors, and various committees, including the preparation and distribution of meeting notices, minutes, and all relevant documents in Thai.
- Serve as a center for news and information for directors, executives, and shareholders.
- Provide recommendations to the board on company business, as well as on company regulations, articles of association, the Securities and Exchange Act, the Public Limited Companies Act, and SET and SEC regulations, among other applicable legislation.
- Ensure that the company’s activities comply with the resolutions from meetings of shareholders, the board of directors, and sub-committees.
- Liaise with the Stock Exchange of Thailand (SET) and the Securities and Exchange Commission (SEC), and ensure that corporate information disclosures to regulatory agencies are complete and in accordance with the laws and regulations.
- Ensure that the company and its management members operate within the frameworks of SET and SEC regulations.
- Manage compliance with relevant laws and regulations.
- Prepare documents and applications regarding corporate matters in connection with the Ministry of Commerce.
- Coordinate with external advisors, such as legal, financial, and internal audit advisors during the IPO process.
Qualifications
- Bachelor’s degree or higher in Legal Studies, Accounting, Finance, or a related field.
- At least 2 years of experience as a Company Secretary with a Public Limited Company.
- Knowledge of SEC/SET rules, regulations, and requirements, the Public Company Act, and Thai Corporate and Commercial Laws.
- Proficient in Microsoft Excel and PowerPoint.
- Excellent interpersonal, communication, and presentation skills.
